1. Agreement to Terms
By accessing and using WaffleInvoice ("Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to abide by the above, please do not use this service. WaffleInvoice reserves the right to revise these terms of service at any time without notice.
2. Use License
Permission is granted to temporarily download one copy of the materials (information or software) on WaffleInvoice for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
- Modifying or copying the materials
- Using the materials for any commercial purpose or for any public display
- Attempting to decompile or reverse engineer any software contained on the Service
- Removing any copyright or other proprietary notations from the materials
- Transferring the materials to another person or "mirroring" the materials on any other server
- Violating any laws or regulations or the rights of third parties
- Using the Service in a way that violates our usage policies
3. Account Registration
When you create a WaffleInvoice account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and password. You agree to accept responsibility for all activities that occur under your account.
You agree to notify WaffleInvoice immediately of any unauthorized use of your account. WaffleInvoice reserves the right to refuse service, terminate accounts, or cancel orders at our sole discretion.
4. Service Description
WaffleInvoice provides software for creating, sending, and managing invoices, estimates, and recurring billing for service businesses. The Service is provided on an "as-is" basis. WaffleInvoice makes no warranties, expressed or implied, regarding the Service.
WaffleInvoice does not guarantee:
- Uninterrupted or error-free operation
- Specific results from using the Service
- Accuracy of any data generated by the Service
- Compatibility with third-party services
5. Payment Terms
Subscription Billing
Pro subscriptions are billed monthly. Your subscription will automatically renew each month unless you cancel. You will be charged on the same day each month.
Payment Processing
Payments are processed through Stripe, our third-party payment processor. By subscribing, you authorize Stripe to charge your payment method. Stripe is responsible for processing your payment information securely.
Cancellation
You can cancel your subscription at any time from your account settings. Cancellations take effect at the end of your current billing period. You will not be charged for future billing periods after cancellation.
Refunds
Subscription fees are generally non-refundable. If you believe you are entitled to a refund, please contact us at support@waffleinvoice.com within 14 days of the charge.
Failed Payments
If your payment fails, we will attempt to process it again. If payment fails multiple times, we may suspend or cancel your account. You are responsible for keeping your payment information current.
5a. SMS Reminders and Messaging Consent
WaffleInvoice may send transactional text messages (SMS/MMS) to your customers on your behalf, including invoice reminders, payment confirmations, and consent requests. The Pro plan includes 50 SMS per billing cycle. SMS sent above the included quota are billed at $0.10 per message via Stripe metered usage as part of your next subscription invoice.
By enabling SMS reminders, you represent and warrant that each customer phone number you provide has been collected with that customer's consent to receive transactional SMS from your business about active service relationships, and that you have the right to instruct WaffleInvoice to message that number on your behalf.
WaffleInvoice will automatically attempt to confirm explicit opt-in by sending a one-time consent SMS the first time a phone number is added to a customer record (when this setting is enabled). Customers may opt out at any time by replying STOP, UNSUBSCRIBE, CANCEL, END, or QUIT. Once a customer opts out, WaffleInvoice will not send further transactional SMS to that number on your behalf, regardless of your settings.
Standard message and data rates may apply to your customers. WaffleInvoice is not responsible for charges incurred by your customers' wireless carriers. You are responsible for using SMS reminders only for transactional purposes related to your active service relationship with the customer, and not for marketing, promotional, or unsolicited messaging. Misuse may result in suspension of SMS sending, account suspension, and recovery of any third-party penalties (carrier fines, regulatory penalties) from your account.
Underlying SMS delivery is provided by our messaging carrier (currently Twilio). Their Acceptable Use Policy and the policies of downstream wireless carriers apply to all messages sent through the Service.
6. Intellectual Property Rights
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by WaffleInvoice or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.
You own your data. You retain all rights to your invoices, estimates, client information, and other data you create in WaffleInvoice. You grant us a limited license to use your data to provide and improve the Service.
7. Limitation of Liability
In no event shall WaffleInvoice or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on the Service, even if WaffleInvoice or an authorized representative has been notified orally or in writing of the possibility of such damage.
To the fullest extent permitted by law, WaffleInvoice's total liability to you for any claim shall not exceed the amount you have paid WaffleInvoice in the 12 months prior to the claim, or $100, whichever is less.
8. Disclaimers
The materials on WaffleInvoice are provided on an 'as is' basis. WaffleInvoice makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
WaffleInvoice does not warrant that the materials on the Service are accurate, complete, or current. You assume all responsibility and risk for the use of the materials.
9. Termination
WaffleInvoice may terminate or suspend your account and right to use the Service immediately, without prior notice or liability, for any reason whatsoever, including if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. You may request your data by contacting support@waffleinvoice.com. We will delete your data according to our privacy policy.
10. Governing Law
These terms of service and any separate agreements we provide to define additional rights, benefits, and obligations are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in California.
11. User Conduct
You agree not to use WaffleInvoice to:
- Violate any laws or regulations
- Infringe on anyone's intellectual property rights
- Harass, threaten, defame, or otherwise violate the rights of any person or entity
- Post or transmit any unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable material
- Create or transmit viruses, malware, or other malicious code
- Attempt to gain unauthorized access to any part of the Service
- Collect data without authorization or bypass security measures
